|
The title in the goods shall pass to the buyer only when payment in full has been received by the seller for all goods what so ever supplied and all services rendered at any time by the seller to the buyer. In case of late payment, we have the right to take the goods back, without any juridical intervention. However the buyer will be held responsible for any damage or devaluation of the goods, that may be caused to the delivered goods, including the damage, that may have been done to the goods in this premises, as the buyer has custody of the goods until the payment of the same. In the case of non-payment of an invoice at the due date with good rights and without summons, 12 % interest per annum as from said due date will be due. The fact alone of exceeding the term of payment will put our customer with good right and without further summons in default according to the provisions of Art 1139 of the Civil Code . In case of unfounded failure to pay within eight days following the despatch of a reminder the debtor undertakes and in any case will be held under the provisions of among other Art 1152 and 1147 of the Civil Code, to pay an undiminishable lump sum and contractual indemnity of 15 % of the amount due with a 25 euro minimum figure and 12.500 euro maximum figure not including any interest payments.

De gegevens opgenomen in onze brochures en documentatie kunnen te allen tijde door ons gewijzigd worden en vormen geen aanbod. De overeenkomst komt pas tot stand bij de ondertekening van een geschrift door beide partijen.
Prices
Prices will be calculated on the basis of salaries, raw materials and other cost elements on the day the agreement is concluded. The company reserves the right to revise the price mentioned in the case of any change in the basic price components, even while the contract is being carried out,, unless otherwise stipulated.
Performance and delivery
The times of delivery agreed upon are given only for indicative purposes. They may never give rise to claims for damages because of delayed delivery or performance, or for cancelling the agreement. The time of delivery starts as soon as the advance payment agreed upon has been received on our account.
Accidents or force majeure
Whenever the company is placed by accident or force majeure in a position where it is impossible for the company to meet its commitments, this agreement may be cancelled or suspended by the company without becoming subject to any claims for damages. This will apply, amongst other to war riots, strike, lock-out, destruction or damaging of the workshops, drafting of personnel, confiscation of workshops or equipments, transport problems, supply problems etc ...
Payment
All invoices are payable at our offices in Kortrijk. Accepting payments by cheque will not cause any renewal of debt. Any invoice that is not paid on the due date, will be collected through the bank and increased by the amount of interest and expenses for the account of the customer.
Jurisdiction
All our transactions are subject to the Belgian law. Any issue which may arise from the agreement, will be settled by the courts of Leerbeek. The exclusive jurisdiction of which is accepted. This will apply both to claims in principal and to possible proceedings in view of safe guarding.
Complaints
Our responsibility with respect to the client is, for any reason whatsoever, strictly limited to direct and foreseeable damage to the goods themselves, excluding any damage due to usage or processing, and up to the maximum of the invoiced amounts for the delivery of the part of the delivery concerned by the complaint, which means the purchase price in case of sales contract, or the value added in case of contracting. Where this maximum amount would be exceeded, the client indemnifies us against all claims by third parties with regard to deliveries carried out. Forward
